However, profitability growth remained relatively modest, with the company reporting a consolidated net profit of ₹21.61 crore for Q4 FY26, registering a growth of 5.52% compared with ₹20.48 crore in the corresponding quarter of the previous financial year. The margin compression was significant, with EBITDA margins collapsing by 620 basis points to 5% from 11.2% in the year-ago quarter, despite the massive revenue jump. For the full financial year FY26, GRM Overseas reported a consolidated net profit of ₹74.34 crore, reflecting a growth of 21.39% over the previous financial year. As reported by Business Standard, the company posted healthy revenue growth during the year, with sales increasing 31.23% to ₹1,769.20 crore in FY26, highlighting continued demand for its products across domestic and international markets. Despite the sharp rise in revenue, operating profitability witnessed some pressure, with EBITDA declining to ₹30 crore from ₹32.7 crore in the year-ago quarter, resulting in EBITDA margin contracting sharply to 5.00% from 11.20% in the corresponding quarter of the previous financial year.
In a significant development, GRM Overseas recently received approvals from the National Stock Exchange (NSE) and BSE for the listing and trading of 2.31 crore equity shares issued through warrant conversions and a bonus issue. Trading in these shares commenced on May 27, 2026. The issuance includes 77.18 lakh equity shares allotted to promoters and non-promoters following the conversion of warrants, and the company allotted 1.54 crore bonus shares in a 2:1 ratio on the converted shares. All shares carry a face value of ₹2 each, while the preferential allotment was executed at a premium of ₹148 per share. According to market analysis, the results signal a 'Growth at Any Cost' phase where the company has successfully scaled its revenue base to ₹600 crore but faces challenges in maintaining EBITDA margins. According to LiveMint, shares of GRM Overseas ended Friday's session 0.8% higher at ₹160.05 on the BSE following the earnings announcement. While the small-cap stock has faced some pressure in the near term, declining 3% over the past one month, it has delivered positive returns over longer periods, gaining 2.5% in the last six months and surging 58% over the past year. The stock has also generated substantial wealth for long-term investors, delivering multibagger returns of 167% over the last five years. Market analysts suggest that while the top-line growth shows the company is gaining market share, long-term value will depend on operational leverage and whether the current branding investments lead to better pricing power in the next 2-4 quarters.
