Automotive component manufacturer Endurance Technologies has successfully completed the acquisition of the remaining 32% stake in Germany-based Stöferle Automotive GmbH and Stöferle GmbH for €18 million, bringing its total ownership to 100%. According to the latest disclosure to BSE and NSE under Regulation 30 of the SEBI Listing Regulations, Endurance Overseas SpA (EOSpA), the company's wholly owned subsidiary in Italy, executed an amendment to the share purchase agreement on September 29, 2026, ahead of the original timeline. The acquisition was executed through the CALL and PUT options agreed in the amendment agreement to secure full ownership and avoid higher future payments.
Under the original agreement signed in December 2024, the remaining 32% stake was scheduled to be acquired in equal tranches over four financial years by June 2030. However, the revised agreement brings the acquisition forward, with completion taking effect immediately upon execution of the amendment agreement. The €18 million cash consideration is €2.13 million lower than the originally agreed purchase price of €20.13 million for the 32% stake. The transaction is being undertaken on an arm's-length basis and is classified as a related party transaction due to the selling shareholders being directors or relatives of directors of the Stöferle entities. As reported in the latest disclosure, exercising the option early secures the economic benefit of the reduced acquisition cost and avoids higher purchase consideration on future tranches if the target companies' performance exceeds base case assumptions.
Following the transaction, EOSpA now holds 100% of both Stöferle companies, having previously held 68% acquired in two tranches under the SPA and a transfer agreement dated June 29, 2026. According to the company's regulatory filing, full ownership will bring management, governance and operational decision-making under a single ownership structure. This consolidation allows Endurance Technologies to implement restructuring, investment and growth plans without minority shareholder considerations. The company stated that neither its promoter nor promoter group has any direct or indirect interest in the acquisition, and expects greater strategic and operational flexibility by eliminating minority shareholder considerations, with faster execution of restructuring, investment and growth plans.
Stöferle Automotive GmbH manufactures machined aluminium castings for automotive applications and reported turnover of €76.4 million for the financial year ended March 31, 2026, compared with €79.4 million in 2024 and €72.1 million in 2023. Stöferle GmbH is involved in machining aluminium castings for automotive applications and producing computer numerical control machines for captive use, with turnover of €16.9 million in the year ended March 31, 2026, compared with €17.1 million in 2024 and €17.2 million in 2023. The combined turnover of both Stöferle entities stood at €93.3 million as of March 31, 2026. Both companies were incorporated in 2011 and 1992 respectively, and serve the automotive industry by manufacturing machined aluminium die castings for engine and transmission components.
According to the company's regulatory filing, no governmental or regulatory approvals are required for the acquisition. The acquisition will be carried out through Endurance Overseas SpA (EOSpA), the company's wholly owned subsidiary in Italy, ensuring compliance with international regulatory frameworks for cross-border acquisitions in the automotive components sector. The disclosure was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, with the transaction being classified as a related party transaction as the selling shareholders are directors of the Stöferle entities or relatives of such directors.
