Elitecon International's board has approved a fundraising proposal of up to ₹1,000 crore through a qualified institutions placement (QIP). According to the company's announcement dated October 12, 2026, the decision was taken at the company's board meeting held on Monday, October 12. The proposed issue could involve equity shares or other eligible securities, including instruments convertible into or exchangeable for equity shares. The fundraising may be conducted in one or more tranches, with the board retaining flexibility to determine the issue price, including any applicable premium, and other terms based on prevailing market conditions and regulatory requirements.
The fundraising plan requires multiple approvals before proceeding. As reported by the company, the proposal needs shareholder approval through a special resolution, along with necessary statutory and regulatory clearances. The company has not disclosed the proposed utilisation of funds, the number of securities to be issued or the timeline for completing the fundraising. The proposed QIP could result in equity dilution for existing shareholders, depending on the final issue size, pricing and securities issued. Pradeep Kumar, Managing Director of Elitecon International, stated that the board's approval provides flexibility to access capital through a regulated route when market conditions are favorable.
The fundraising initiative supports Elitecon's broader business expansion strategy beyond its established international tobacco export operations. According to the company's announcement, the company is developing a fast-moving consumer goods (FMCG) business with plans to expand into packaged foods, edible oils and household essentials. Headquartered in India, Elitecon operates across more than 50 countries with subsidiaries in the United Arab Emirates and Singapore, having been founded in 1987 and running a manufacturing facility in Nashik, Maharashtra. The company has its roots in the tobacco business and was formerly known as Kashiram Jain & Company Limited, with its business model including manufacturing and international distribution activities.
Further details regarding the issue price, timeline and intended use of proceeds will be announced later, subject to required approvals. The proposed QIP is part of the company's wider revival and growth strategy under a reconstituted board and management team appointed earlier this year. The final size, structure and timing of the fundraising will depend on the approvals and terms determined as the process moves forward. The board's approval does not mean the company has already raised the money, as the proposal remains conditional on shareholder approval and regulatory clearances.
