Dixon Technologies (India) Ltd has officially signed a joint venture agreement with Taiwan-based Gemtek Technology Co. Ltd to manufacture and supply optical transceivers and bidirectional optical subassemblies in India. According to latest reports, the definitive agreement was executed on October 7, 2026, transitioning from the binding term sheet signed on June 9, 2026. Under the agreement, Dixon Electroconnect Pvt Ltd, originally a 100% wholly owned subsidiary of Dixon Technologies, will be converted into a 60:40 joint venture with Dixon holding a 60% stake and Gemtek the remaining 40%. The joint venture is strategically positioned to commence production by Q4 FY27, aligning with the government's upcoming component-focused PLI scheme for telecom manufacturing.
The joint venture will manufacture Optical Transceiver-SFP (Small Form-Factor Pluggable), BOSA (Bidirectional Optical Subassembly) and other telecom products as mutually agreed by the partners. As reported by CNBC TV18 and Business Upturn, the transaction will be carried out through the subscription of fresh equity shares of Dixon Electroconnect by Dixon and Gemtek. The number of shares to be subscribed by each partner will be determined based on valuation reports and in compliance with applicable laws. The manufacturing efforts will leverage Dixon Technologies' extensive production capabilities with Gemtek's expertise in optical modules, telecom infrastructure, and networking technologies. The company clarified that the joint venture will be engaged in the business of manufacturing and supply of optical transceiver-SFP and BOSA or other telecom products as may be mutually agreed by the parties from time to time in India.
According to the agreement terms, Dixon will have the right to nominate three directors to the JV's board, including the Chairman, while Gemtek will nominate two directors. The board of the JV company will have five directors in total. Dixon will also have the right to nominate the chairman. Both parties will possess information rights pertinent to the joint venture's affairs. The JV Agreement covers reserved matters requiring shareholder approval, exit rights, representations and warranties, indemnities and dispute resolution. This strategic move marks Dixon's formal entry into the high-speed data centre, telecom, and optical connectivity component ecosystems, transitioning the company from basic product assembly into high-value active components and strengthening the average value captured per device. The partnership aims to address the growing demand from AI, cloud computing, data centres, and next-generation optical communication solutions.
Dixon Technologies reported strong Q1 FY27 financial results with revenue of ₹15,557 crore and PAT of ₹218 crore, excluding fair value gains. The joint venture represents a significant strategic pivot as Dixon moves up the EMS value chain into high-margin infrastructure gear. The partnership is highly synchronized to leverage the surging domestic demand for AI-driven hyperscale data centres and local cloud networks. The Indian government's proposed ₹6,000–₹7,000 crore telecom PLI scheme specifically targets deep component fabrication, making this JV highly strategic for localizing production of active optical sub-assemblies (SFPs and BOSAs) and decreasing dependency on imported electronic modules.
According to CNBC TV18, Dixon Technologies shares closed at ₹12,945 on October 7, down 0.54% from the previous close. The market reaction reflects investor assessment of the strategic partnership's potential to enhance Dixon's presence in the high-growth telecom and data centre infrastructure segment. The successful product validation and manufacturing trial runs prior to Q4 FY27 production start demonstrate the joint venture's readiness for market entry. The execution of this JV agreement secures Dixon's position in high-value components, with the scheduled production start aligning with the government's component-focused PLI scheme for telecom manufacturing. The transaction is expected to be completed by February as per the latest regulatory filing.
