The Competition Commission of India (CCI) has approved Kotak Mahindra Bank Limited's proposed acquisition of Deutsche Bank AG's retail banking, private banking and wealth management businesses in India. According to the latest CCI press release, the acquisition covers Deutsche Bank's businesses operated through its branches in India and will be carried out as a going concern through a slump sale. As per The Hindu BusinessLine, the CCI stated that the proposed combination envisages acquisition of retail banking, private banking and wealth management business of Deutsche Bank Aktiengesellschaft undertaken through its branches in India. The deal also involves referral arrangements between affiliates of the two groups, under which customers of Deutsche Investments India Private Limited's investment advisory and portfolio management services businesses will be referred to relevant wholly owned subsidiaries of Kotak Mahindra Bank.
The proposed transaction involves substantial financial assets, with approximately ₹29,000 crore in loans, ₹16,000 crore in deposits, and ₹10,500 crore of assets under management. As reported by The Hindu BusinessLine, these assets serve around 150,000 customers through a team of approximately 1,000 employees. The deal was originally announced in June this year when both banks entered into a definitive agreement. According to Business Standard, Kotak Mahindra Bank signed an agreement in June to buy the German lender's consumer banking business in India for about ₹281.7 crore in cash through a slump sale. The purchase consideration of ₹281.7 crore is subject to adjustments under the agreement, with Kotak separately paying the net funding position — the value of assets less liabilities — at the time of closing. As of March 31, 2026, the business had about ₹29,000 crore in outstanding advances and ₹16,000 crore in deposits.
According to The Hindu BusinessLine, Ashok Vaswani, Managing Director and CEO of Kotak Mahindra Bank, stated that this transaction aligns well with their focus on the affluent and SME segments. Vaswani emphasized that the acquisition represents a strong strategic fit and makes sound commercial sense, bringing a high-quality customer franchise and experienced teams while adding incremental scale and adjacency opportunities. The lender's priority will be on disciplined integration and ensuring continuity while building further depth and capability in this business. The acquisition will expand Kotak's presence among affluent customers and small and medium enterprises (SMEs), with the addition of Deutsche Bank's customer relationships, wealth management assets and experienced banking teams providing greater scale in these segments. As Vaswani noted, the transaction brings a high-quality customer franchise and experienced teams while adding incremental scale and adjacency opportunities.
Amid the transaction, 16 of Deutsche Bank's 17 branches in India will become part of Kotak's network, while Deutsche Bank will retain its Fort branch in Mumbai. As reported by Business Standard, approximately 1,000 Deutsche Bank employees in India are expected to join Kotak Mahindra Bank as part of the transaction. This employee integration underscores the importance both banks place on continuity for customers and long-term opportunities for employees during the transition period. The bank has identified continuity for customers and employees as a priority during integration, ensuring smooth transition of operations and maintaining service quality for existing customers. The referral arrangements between the parties through their affiliates will further strengthen the strategic partnership between the two institutions.
Following the regulatory approval, shares of Kotak Mahindra Bank closed 1.37% higher at ₹464.65 on the NSE on November 3, gaining ₹6.30 during the session. The positive market reaction reflects investor confidence in the strategic value of the acquisition and the regulatory clearance received. The transaction remains subject to other regulatory approvals and conditions set out in the agreement, with Deutsche Bank having announced the sale in June as part of its efforts to simplify its business and redeploy capital. The market response demonstrates investor optimism about the deal's potential to enhance Kotak's market position and operational capabilities in the competitive banking sector. The CCI noted that a detailed order would be issued regarding the approval.
