According to reports from Business Standard, the board of directors of Atyati Technologies (ATPL) approved a Business Transfer Agreement (BTA) on 28 September 2026 for the sale and transfer of its Joint Liability Group-Financial Lending Business (JLG Business Undertaking) to TVAM Technologies. The transaction involves a consideration of ₹59.49 lakh for the going concern sale through a slump sale arrangement. The deal is subject to necessary approvals from lenders and regulatory authorities, with completion expected within approximately 90 days from the approval date.
The JLG Business Undertaking demonstrated significant revenue contribution but minimal net worth impact on ATPL's overall financial position. As reported by Business Standard, the JLG unit generated a turnover of ₹100.56 crore in FY26, representing 26.8% of ATPL's total turnover for the period. However, while no separate net worth was available as on March 31, 2026, the net worth computed as on July 1, 2026, stood at ₹59.49 lakh, which is 0.9% of ATPL's total net worth. This substantial asset turnover ratio indicates the high-yielding nature of the lending segment compared to other business segments within ATPL.
As reported by Business Standard, TVAM Technologies is a private company where a director of ATPL serves as both a Director and Member. This establishes TVAM as a related party of ATPL, making the transaction subject to related party transaction provisions. TVAM operates in the financial services sector, providing banking, lending, insurance and wealth management services to customers through a downloadable application platform. The company confirmed that the transaction falls within related party transactions but was executed at arm's length, ensuring fair market valuation.
According to Business Standard, the proposed transaction forms part of ATPL's broader business re-organisation and operational restructuring initiatives. The transfer of the JLG Business Undertaking to TVAM is designed to streamline business operations, optimise deployment of resources and enable greater strategic and operational focus through an appropriate business structure. This restructuring aims to improve the company's operational efficiency and strategic positioning in the financial services sector. The transaction is expected to be consummated in about 90 days, subject to fulfilment of conditions precedent specified in the Business Transfer Agreement.
