
According to the latest regulatory disclosure, Aditya Birla Capital has successfully convened its Extra-Ordinary General Meeting on June 12, 2026, to approve the ₹4,000 crore preferential equity issue. Shareholders can now vote via remote e-voting from June 9 to June 11, 2026, with the EGM scheduled for 11:00 a.m. on June 12, 2026 through video conferencing. The remote e-voting period commences at 9:00 a.m. on June 9, 2026, and ends at 5:00 p.m. on June 11, 2026, with results to be announced on or before June 16, 2026. KFin Technologies Limited has been appointed as the Registrar and Transfer Agent to facilitate the e-voting process.
The company has announced plans to utilize ₹3,500 crore from its recently approved fundraise to drive business growth, specifically focusing on lending business expansion. The allocation comes as part of the company's broader fundraising initiative, with the company specifically stating it will utilize ₹3,500 crore to support business expansion across lending, insurance, and financial services segments. The capital infusion will primarily support expansion in retail, housing, MSME, and other financing businesses while also reinforcing capital adequacy levels as regulatory requirements tighten for non-banking financial companies (NBFCs). Not exceeding 87.5% of the proceeds will be used for meeting growth objectives, including augmentation of the capital base and funding requirements for its lending business, with the remaining 12.5%, estimated at ₹500 crore, allocated for General Corporate Purposes.
The company is raising ₹4,000 crore through a preferential issue of 11,23,53,236 equity shares at ₹356.02 per share, including a premium of ₹346.02 per share. The preferential issuance will be undertaken at the price of ₹356.02 per equity share. Grasim Industries will contribute ₹2,880 crore to the proposed fundraise, while ₹200 crore will come from promoter group company Suryaja Investment Singapore. The remaining ₹920 crore will be invested by the International Finance Corporation (IFC). The fundraising proposal has been approved by the board, with the proceeds to be utilized within two years from the date of receipt. Grasim Industries will see its stake increase to 53.08% post-allotment, while the International Finance Corporation (IFC) will enter as a shareholder with a 0.95% stake.
