According to reports from Essential Business Intelligence, The Economic Times, and Business Standard, Adani Energy Solutions announced the execution of a Share Purchase Agreement (SPA) on August 14, 2026 to acquire Vizag Power Transmission Limited (VPTL) from REC Power Development and Consultancy Limited (RECPDCL). The acquisition is strategically positioned to facilitate the integration and supply of power to proposed Green Hydrogen and Green Ammonia projects in the Vizag region. VPTL was incorporated in India and registered with the Registrar of Companies, New Delhi, on February 16, 2026. The transaction involves the acquisition of the entire equity share capital of VPTL, with the company having an authorised capital of ₹5 lakh and paid-up capital of ₹5 lakh, while its turnover has been classified as not applicable. The deal was executed as a cash transaction at ₹10 per share, with the company disclosing that no promoter or group company holds any interest in VPTL, and no governmental or regulatory approvals are required for this acquisition which is now marked as completed.
As reported by Essential Business Intelligence, The Economic Times, and Business Standard, the planned transmission infrastructure is strategically important for the development of the green energy ecosystem in the Vizag region. The projects are expected to generate an estimated power demand of around 4,500 MW, making the acquisition crucial for supporting the region's green energy initiatives. VPTL operates in the electric utilities sector as a transmission service provider and has been planned specifically to facilitate the integration and supply of power to the proposed Green Hydrogen and Green Ammonia projects in the Vizag area. This acquisition aligns with the company's strategy of creating shareholder value through both organic and inorganic opportunities, with the low face value consideration (₹10 per share) against a paid-up capital of ₹5 lakh likely reflecting the entity's role as a special purpose vehicle for the specific green energy projects in Vizag.
According to The Economic Times, shares of Adani Energy Solutions gained 2% following the acquisition announcement, with the stock ending at ₹1,613 apiece on the BSE. The stock had reached a high of ₹1,622.20 during the session before paring gains. The acquisition follows Adani Energy Solutions' earlier announcement of an order win worth ₹8,500 crore in Andhra Pradesh, with the latest transaction adding to the company's presence in the transmission infrastructure space. The company has declined 1.01% over the past week and 4.53% over the last month, but remains up 54.21% year-to-date and has gained 108% over the past year. Historical stock returns show the stock has gained 63.56% over 6 months and 105.52% over 1 year.
As reported by Essential Business Intelligence, The Economic Times, and Business Standard, the acquisition follows Adani Energy Solutions' earlier intimation dated July 24, 2026, regarding its media release on winning an approximately ₹8,500 crore transmission project in Andhra Pradesh. The latest transaction adds to the company's presence in the transmission infrastructure space and is aligned with the expected growth in electricity demand from emerging industrial and green-energy projects. The Vizag power acquisition marks another inorganic opportunity for the company as it looks to expand its transmission portfolio and participate in infrastructure requirements of emerging energy-intensive projects.
According to The Economic Times, Adani Energy Solutions has been included in the MSCI India Index alongside Lenskart Solutions, Billionbrains Garage Ventures and Laurus Labs. As per Nuvama Alternative & Quantitative Research, the inclusion of these four stocks in the MSCI India Index could attract potential inflows of up to $600 million. This development comes as the company continues to pursue both organic and inorganic growth opportunities in the transmission infrastructure sector, with the acquisition of VPTL representing a strategic move to enhance shareholder value through specialized green energy infrastructure investments.
