The company is embarking on an aviation-focused transformation of its business, with the proposed acquirers Sanjay Natvarlal Mandavia and Rupal Sanjay Mandavia making an open offer to acquire up to 3,70,47,634 equity shares, representing 26% of the emerging voting share capital at ₹1.53 per equity share. As reported by Live Mint, the proposed transaction represents a significant development with the new promoters envisaging expansion into aviation and allied sectors, subject to shareholder approvals and regulatory permissions. The extraordinary general meeting is scheduled for September 9, 2026, at 2:00 PM to discuss the proposed acquisition and business transformation. According to the company's BSE filing, the revised object clauses include approval to operate airline services, manage aviation academies, and manufacture drones, eVTOL aircraft and defence equipment.
The proposed transformation enables comprehensive alteration of the company's objects clause to pursue opportunities across aviation and airline services, including scheduled and non-scheduled air transport for passengers, cargo, freight, logistics and allied services. According to the company's announcement, the proposed business scope extends to aircraft and aviation infrastructure, including airports, aerodromes, heliports, hangars, maintenance, repair and overhaul facilities, cargo terminals and aviation parks. Beyond conventional aviation, the company proposes to explore opportunities in emerging technology-driven segments such as drones, unmanned aerial vehicles, electric vertical take-off and landing aircraft, air taxis, and advanced air mobility solutions. The firm is currently engaged in IT products and services but aims to diversify into aviation, aerospace, and defence manufacturing.
